A Company Secretary (CS) serves as a key legal and governance professional within the organization, ensuring compliance with statutory and regulatory requirements while supporting the Board of Directors in strategic decision-making. The role combines legal expertise, corporate governance, and business advisory responsibilities to strengthen organizational integrity and efficiency.Key Responsibilities: Provide guidance to the Board on corporate governance practices, regulatory compliance, and applicable business laws. Ensure adherence to company laws, securities regulations, and other statutory requirements. Support the development and implementation of corporate sustainability and governance frameworks. Manage company incorporation processes, including promotion, registration, and legal documentation. Oversee filing and registration of statutory documents such as returns, forms, and legal agreements. Maintain and safeguard corporate records, statutory registers, and official documentation. Organize and coordinate board meetings and general meetings, including preparing agendas and tracking action points. Handle matters related to securities, including transfer, transmission, and compliance with market regulations. Conduct and manage secretarial and compliance audits, ensuring accurate reporting and certifications. Represent the company before regulatory authorities such as ROC, SEBI, stock exchanges, and other legal bodies. Provide advisory support in dispute resolution through negotiation, arbitration, and conciliation. Assist in capital market activities, including listings, public issues, and securities management as required. Support banking operations, including account management and related compliance activities. Monitor and report on daily share market movements relevant to the organization.This role is critical in ensuring legal compliance, effective governance, and informed decision-making within the company.
