PAID BOARD ROLE + FREE FOUNDERS’ EQUITYFinancing secured — no capital required from board members.Non-Executive Director – Finance Strategy & Deal Structuring | Healthcare M&A Platform | Big 4 Background Preferred.Join the founding board of a healthcare consolidation platform acquiring EBITDA-positive hospitals (20–100 beds) across Tier-2 and Tier-3 India.We are seeking a retired or semi-retired Big 4 senior partner (KPMG, Deloitte, EY, PwC) with deep expertise in transaction advisory, M&A structuring, valuation, or audit.About the CompanyWe are building a healthcare consolidation platform to acquire and integrate small to mid-sized hospitals (20–100 beds) in Tier-2 and Tier-3 cities. Our disciplined acquisition model targets hospitals with ₹10–₹60 crore in revenue and 12–18% EBITDA margins. Over the next 12–18 months, we plan to acquire 6–8 hospitals in Maharashtra, adding 600–800 beds and generating ₹180–₹250 crore in consolidated revenue. Hospitals will be organised into regional clusters with shared clinical protocols, procurement, and administration thus improving efficiency and margins. The market opportunity is significant: ₹1.5 trillion in hospital assets are expected to change hands in the next 5–7 years, driven by succession gaps, promoter fatigue, and regulatory pressures. Unlike aggregators, we will own and operate each hospital directly to ensure consistent quality, pricing, staffing, and branding. Our target: ~5,000 operational beds through 70–80 acquisitions in 5–7 years, with EBITDA margin expansion and valuation uplift positioning the platform for an institutional sale or public listing.Role SummaryYou will advise the Founder and the Board on financial strategy, transaction structuring, and capital allocation. You will oversee pre-deal modelling, seller negotiations (including rollover and deferred payouts), and help guide the company through due diligence, deal execution, and post-close integration.Key ResponsibilitiesProvide board-level oversight on valuation, deal structuring, and financial strategy. Guide capital stack decisions: debt, equity, mezzanine, seller notes. Evaluate transaction terms: rollover equity, deferred consideration, earn-outs. Review quality of earnings, working capital adjustments, and SPA terms. Support capital raising through deal memos, investor decks, and financial models. Mentor founder on transaction execution and board-level governance.Candidate Requirements (Mandatory)Retired or semi-retired partner from a Big 4 accounting firm or equivalent transaction advisory role. Deep experience in M&A transactions: healthcare preferred but not mandatory. Familiarity with Indian hospital M&A or private capital markets a plus. Prior board, investment committee, or fund-level experience is strongly preferred. Comfortable mentoring and guiding a founder-led platform navigating complex deals.CompensationFREE FOUNDERS’ EQUITY: up to5% equity , based on time commitment and contribution. Deal completion and performance-based bonuses.
