Lawyer - M&A

Role Overview:We are looking to onboard a seasoned Lawyer with 9+ years PQE, with strong transaction execution experience and leadership capabilities. The role will involve leading deal teams, managing client relationships, handling negotiations, and providing strategic advisory on complex corporate transactions.Key Responsibilities:Transaction Execution:Lead end-to-end execution of M&A, private equity, and joint venture deals (public and private)Draft and negotiate key transaction documents including Share Purchase Agreements (SPA), Shareholders Agreements (SHA), Business Transfer Agreements (BTA), Term Sheets, etc.Conduct legal due diligence and oversee diligence teams and reportingCoordinate with tax, regulatory, competition, and sectoral specialists as required for transaction structuringClient & Stakeholder Management:Serve as a primary point of contact for clients; manage investor, target company, and counterparty expectationsParticipate in negotiations and discussions with stakeholders, advisors, and regulatorsEnsure timely delivery of high-quality advice and documentationStrategic & Regulatory Advisory:Advise clients on corporate governance, foreign investment, SEBI, RBI, and competition law-related aspects of M&A dealsGuide clients through complex deal structuring, regulatory strategy, and post-deal integrationTeam Leadership & Development:Mentor and supervise junior associates; provide legal guidance, feedback, and reviewContribute to training programs, precedents, and knowledge sharing within the firmParticipate in thought leadership initiatives, including authoring articles and speaking engagementsKey Requirements:LL.B. from a premier Indian law school; LL.M. (optional, international exposure preferred)9+ years of PQE in top-tier law firm(s), with a strong focus on M&A workProven track record in leading and closing large, complex transactions across sectorsStrong understanding of company law, FEMA, SEBI regulations, FDI policy, and transactional tax considerationsExcellent drafting, negotiation, and communication skillsAbility to manage teams, drive execution under pressure, and maintain client confidencePreferred Attributes:Experience working with international clients or in cross-border transactionsYou must be working with a law firmSectoral exposure to industries such as financial services, healthcare, energy, technology, infrastructure, etc.Strong commercial acumen and client-focused approachThis is not an in-house roleHigh degree of professionalism, ownership, and ethical standards
