The Company Secretary (CS) will be responsible for ensuring robust corporate governance, statutory compliance, and regulatory adherence in line with the Companies Act, 2013, RBI Regulations, and other relevant laws, as applicable. The role involves acting as a key governance advisor to the Board and senior management, supporting strategic decision-making, and maintaining high standards of compliance and transparency.Key Responsibilities• Act as Company Secretary to the Board of Directors and its Committees, including the Audit Committee, Nomination and Remuneration Committee, and Risk Management Committee.• Plan, convene, and support meetings of the Board, Committees, and shareholders; prepare agendas, notes, minutes, and action trackers.• Advise the Board and senior management on corporate governance best practices and evolving regulatory requirements.• Draft, review, and periodically update corporate governance policies and frameworks, including the Code of Conduct, Risk Management Policy, Whistle Blower Policy, POSH Policy, and related charters.• Ensure effective implementation, monitoring, and periodic review of governance policies, codes, and committee charters.• Ensure compliance with the Companies Act, 2013, rules made thereunder, and other applicable corporate laws; track regulatory developments and assess their impact on the organization.• Manage statutory filings, returns, and disclosures with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), Reserve Bank of India (RBI), and other regulatory authorities.• Coordinate with statutory auditors, internal auditors, secretarial auditors, and act as a key point of contact for regulators and external advisors on corporate secretarial and compliance matters.• Support preparation and review of regulatory responses, including drafting replies to queries and observations raised by the RBI and other regulators.• Support enterprise risk management, compliance monitoring, and internal control frameworks.• Promote ethical standards and a strong culture of compliance across the organization.Qualifications & Experience• Qualified Company Secretary and member of the Institute of Company Secretaries of India (ICSI). • Relevant post-qualification experience in corporate secretarial, RBI compliance, or governance roles.Knowledge & Skills• Strong knowledge of the Companies Act, 2013 and corporate governance frameworks.• Excellent drafting, documentation, and communication skills.• High level of integrity, discretion, and attention to detail.
