Job Description:
Key ResponsibilitiesPractice Leadership & Team Management- Lead, mentor, and manage a team of ~10 CS professionals across multiple locations. - Allocate assignments, review deliverables, and ensure adherence to timelines and quality standards. - Build internal capability, training frameworks, and knowledge-sharing practices within the CS vertical. - Develop SOPs and process efficiencies for compliance and advisory work.Corporate Compliance & Secretarial Functions- Oversee Companies Act compliance, annual filings, board and shareholder meetings, and statutory registers. - Manage ROC, MCA, and other regulatory filings for domestic and international clients. - Handle secretarial audits, due diligence, and governance frameworks. - Provide advisory on corporate structuring, ESOPs, share transfers, and capital restructuring.Retainership Client Management- Act as the primary SPOC for key retainership clients. - Ensure continuous compliance monitoring and proactive advisory. - Build long-term relationships and identify opportunities for cross-selling additional services. - Maintain high client satisfaction and retention levels.M&A and Transaction Advisory (CS Work)- Lead secretarial and legal compliance aspects of M&A transactions. - Conduct due diligence reviews and prepare transaction documentation support. - Coordinate with legal, tax, and finance teams during deal execution. - Advise on restructuring, mergers, demergers, and corporate reorganizations.NBFC & Regulatory Compliance- Handle NBFC-related regulatory filings, governance, and compliance requirements. - Liaise with regulators and ensure adherence to RBI and related norms. - Support licensing, renewals, and compliance audits where applicable.Business Development & Growth- Contribute to revenue growth through client acquisition and relationship expansion. - Participate in pitches, proposals, and networking initiatives. - Identify new service opportunities within existing client portfolios. - Collaborate with leadership on strategic expansion of the CS practice.Required Qualifications- Qualified Company Secretary (CS) with active membership. - 8–12+ years of relevant experience in corporate secretarial and compliance roles. - Prior experience in consulting firms or professional services environments preferred. - Exposure to M&A transactions, NBFC compliance, and multi-client handling is highly desirable.
