Transaction Lawyer

We are looking for a Lawyer for Transaction Law Practice for our client, a Law Firm, based in Delhi.Key ResponsibilitiesDraft, review, negotiate, and finalize transactional documents including:Share Purchase Agreements (SPA)Shareholders’ Agreements (SHA)Asset Purchase AgreementsJoint Venture AgreementsCommercial contracts and ancillary documentsAdvise clients on corporate, commercial, and transactional matters, including mergers, acquisitions, investments, and restructuring.Conduct and manage legal due diligence for transactions.Ensure compliance with applicable laws, including Companies Act, FEMA, SEBI regulations, and other relevant Indian laws.Coordinate with internal teams, external counsel, regulators, and clients to ensure smooth execution of transactions.Assist in structuring transactions to mitigate legal and regulatory risks.Support senior lawyers/partners in complex and high-value deals.Eligibility & QualificationsLL.B. from a recognized university (LL.M. preferred but not mandatory).3–11 years of relevant post-qualification experience in transactional/corporate law.Experience in a law firm, in-house legal team, or a mix of both is preferred.Strong drafting, negotiation, and analytical skills.Sound understanding of Indian corporate and commercial laws.Ability to manage multiple matters simultaneously and work under deadlines.Key Skills & CompetenciesExcellent legal drafting and documentation skillsStrong commercial acumenAttention to detail and problem-solving abilityEffective communication and stakeholder managementAbility to work independently as well as in a team
