Key ResponsibilitiesInvestment & Transaction SupportLead end-to-end legal execution of early- and growth-stage venture investments, including:Share Subscription Agreements (SSA)Shareholders’ Agreements (SHA)Term Sheets, SAFE/Convertible NotesShare transfers, secondary transactions, and exit documentationNegotiate legal documents with founders, co-investors, and external counsels.Ensure timely closures of deals with practical, business-friendly risk mitigation.Shareholder & Governance MattersHandle shareholder rights, board composition, voting matters, ESOP frameworks, and corporate governance structures.Draft and review board resolutions, notices, policies, and statutory documentation.Support portfolio companies on ongoing shareholder compliance and governance best practices.Fund & Regulatory ComplianceManage legal compliance related to venture capital structures, including:SEBI (AIF) regulationsFEMA and FDI guidelinesCompanies Act requirementsOversee documentation for fund entities, SPVs, and co-investment vehicles.Liaise with regulators, company secretaries, and legal advisors for audits and filings.Portfolio Legal AdvisoryProvide strategic legal guidance to startups across key business areas such as:Commercial contracts & partnershipsVendor and client agreementsEmployment & ESOP documentationIP protection and data privacy complianceAssist companies in structuring legal documentation for follow-on fundraises and exits.Litigation & Risk ManagementManage disputes, notices, arbitration matters, and potential litigation with external legal firms.Assess legal risk and proactively implement mitigation strategies.Maintain standardized risk documentation and templates.Stakeholder ManagementAct as a legal business partner to Founders, Investment Team, LPs, and portfolio leadership.Coordinate with external law firms, auditors, compliance professionals, and company secretaries.Candidate ProfileEducationLLB/LLM from a reputed law institution.Qualification as an Advocate (preferred).Experience10+ years of experience in venture capital, private equity, law firms catering to VC/PE clients, or in-house legal roles within VC funds or startup ecosystems.Direct hands-on experience with shareholder agreements and venture investment deals.Proven track record of working on fund documentation and portfolio support matters.Exposure to regulatory frameworks: SEBI AIF norms, FEMA, FDI, and Companies Act.Key CompetenciesStrong commercial negotiation and deal-closing mindset.Ability to balance legal risk with business imperatives.Excellent drafting skills across venture transaction documents.Practical problem-solver comfortable working in fast-paced startup and investor environments.High ownership with ability to manage multiple parallel transactions.Strong communication skills and stakeholder management capability.
