About the Role: We are looking to hire a highly experienced and business-focused Senior Corporate Lawyer to join our General Corporate practice in Mumbai . The ideal candidate will have deep expertise in Mergers & Acquisitions (M&A), Private Equity (PE), Venture Capital (VC) , joint ventures , corporate structuring , and strategic advisory . You will play a key leadership role in managing high-value domestic and cross-border transactions across sectors, with a strong focus on technology, media & entertainment (M&E), consumer, and financial services . Key Responsibilities: Lead and execute end-to-end M&A, PE/VC, and joint venture transactions , including: Share purchase agreements (SPA) Shareholders’ agreements (SHA) Investment agreements Business transfer agreements Due diligence reporting Advise clients on corporate governance , board advisory , regulatory approvals , and FEMA/FDI compliance Negotiate complex commercial arrangements with multiple stakeholders including promoters, financial sponsors, and strategics Advise on corporate structuring, entity setup, reorganizations, and cross-border investment flows Provide legal support to media & entertainment clients on content licensing, talent agreements, production deals, and IP structuring Represent and advise private equity funds, venture capital investors , and portfolio companies at every stage of the investment lifecycle Collaborate with tax advisors, financial consultants, and international counsel for structuring and regulatory alignment Stay abreast of legal and regulatory developments impacting corporate law, FDI, startups, digital media, and financial markets Key Requirements: LL.B. / LL.M. from a reputed law school in India or abroad Minimum 15 years of post-qualification experience in general corporate law , with a strong focus on M&A and private equity Extensive experience advising on complex shareholding structures, investment exits, earn-outs, ESOPs , and control rights Proven track record of handling cross-border deals , including coordination with foreign counsel and global stakeholders Sound knowledge of Companies Act, FEMA, SEBI regulations, Competition Act , and IP laws relevant to M&E transactions Exceptional drafting, negotiation, and stakeholder management skills Strong leadership qualities with the ability to mentor junior lawyers and lead transaction teams Commercial mindset with the ability to align legal advice with business goals Preferred Qualifications: Experience advising unicorns, startups, or media & entertainment conglomerates Familiarity with data privacy laws, digital media licensing , and technology contracting is a plus Prior exposure to IPO readiness, corporate compliance , or ESG-related advisory will be an advantage What We Offer: Opportunity to lead and close market-defining transactions across high-growth sectors Collaborative and entrepreneurial team environment Competitive remuneration and leadership growth path Exposure to international clients, high-growth startups , and blue-chip investors
