About the RoleSenior Manager _ Legal Counsel & Business PartnerResponsibilitiesBe the primary counsel to CR & commercial teams in regulatory / legal risk mitigation.Coach Commercial & CR Teams in developing effective and robust contracts, 3rd party consultant empanelment, NGO & govt. officials engagement which meet USL and Market Requirements.Ensure that transaction risk (in the underlying business & in the negotiated documents) is contractually mitigated as far as possible to protect USL Diageo and that any remaining risk is understood by all relevant stakeholders.Minimise legal risk for USL in the areas of Anti-Bribery and Corruption and anti-trust using strong knowledge of these fast evolving areas.Instil confidence in Commercial & CR Leadership teams in delivering pragmatic and proportionate legal advice and support ensuring sustainable performance.Act as Legal Project Manager of Commercial and CR projects and drive and monitor an effective and efficient implementation and documentation thereof.Provide frameworks, processes and checklists and training to ensure effective adherence to legislative requirements in Commercial and CR Operations.Co-develop standardized processes with Sr. Counsel, incorporating best practices from the industry, and templates for the efficient and effective delivery of legal services and business operations partnering with the various functions as appropriate.Support initiatives in identification and interpretation of applicable and changing laws and regulations in all areas of business activity, and provide support for crisis management and taxation changes.Partners with commercial and CR teams and their leadership to handle all operational matters arising from the operations in various states.Support in providing pro-active legal leadership, support and advice to the Commercial and CR functions, and the key stakeholders in USL and to assist them with achieving their core strategic objectives whilst appropriately managing and mitigating the associated legal and reputational risks.The counsel is responsible for raising capabilities within the commercial and CR teams through training in the process of contracting, negotiating, compliance programmes relating to vendors, customers and also support training on relevant policies and codes applicable to the teams.Ability to simultaneously handle multiple complex legal projects across regions in India.Ability to work with and influence senior stakeholders within the Company.Ability to manage legal budgets within the Company and seek minimum external support.Ensure appropriate and relevant legal trainings to stakeholders.Establish fantastic relationships and drive the creation & implementation of tools to systemise key issues and bring simplicity to the market.Effective and proactive business partnering delivering value to the business.Provide frameworks, processes and checklists and training to ensure effective adherence to legislative requirements in day to day operations.Analyse, research and prepare documentations and provide strategic advice on a range of legal and regulatory issues (incl. Excise laws, Anti-trust, Anti Bribery, data privacy, corporate, commercial and contract law, customs, corporate compliance, foreign investment, labour / employment, M&A, product liability, etc.).Analyse, research and prepare documentation and provide strategic advice on regulatory inquiries.Coordinate with outside counsel for representation before courts, government agencies and/or other authorities and implement dispute resolution efforts and strategies, track and manage outside counsel costs.Liaison with relevant Government offices and other competent authorities for seeking advice, clarifications and making representations on behalf of the company and if necessary for documentations, follow up and keeping the record of the same.QualificationsPost Graduation in Law.At least 10+ years Post Qualification Experience (PQE) admitted in the UK, or other common law jurisdiction or Indian qualified.Experience of working Alco Bev, FMCG, Pharma company preferred but not essential.Required SkillsKnowledge of India’s legal system and government infrastructure.Experience of working outside India desirable but not essential.Knowledge of international anti-bribery legislation.Experience in business partnering to senior executives.Demonstrated ability to navigate in legal environments.Excellent knowledge of Indian excise legislation and the varying treatments of alcohol products and trade across all of India’s states.Preferred SkillsCan navigate in legal environments where laws can be unclear and judicial system not always robust.Can easily switch between strategic thinking and detail oriented operational work.Can provide pro-active, pragmatic advice.Has a strong ability to influence key stakeholders.Can explain complex legal issues in layman terms.
