This is a high-accountability, ownership-driven role for someone who thrives in lean, fast-moving environments and has the maturity to interface directly with regulators, Board members, auditors, and investors.The role covers the Indian listed entity and its group entities, including a Singapore-based wholly owned subsidiary. We are a growing organisation with a small but close-knit Finance and Accounts team. We are looking for someone who brings independent thinking, a quick-learning mindset, and a genuine intent to grow with the business.KEY RESPONSIBILITIES1. Board, Committee & Shareholder GovernanceIndependently prepare and circulate Notices, Agenda, and Board Notes for Board Meetings, Committee Meetings, AGMs, and EGMs.Draft, finalise, and maintain Minutes, Attendance Registers, Statutory Registers, and all corporate records.Facilitate effective conduct of the Audit Committee, Nomination & Remuneration Committee, and Stakeholders Relationship Committee.Independently manage secretarial compliances for wholly owned subsidiaries and other group entities, including board processes and documentation.2. SEBI & Stock Exchange ComplianceEnsure timely and accurate compliance with SEBI (LODR), SEBI (PIT), SEBI (ICDR), SEBI (SAST), and all other applicable SEBI regulations.Prepare and submit disclosures, filings, and intimations on NSE NEAPS Portal and BSE Listing Centre.Coordinate with CDSL / NSDL Issuer Portals for all depository-related compliance requirements.Monitor NSE/BSE circulars and regulatory updates; proactively implement compliance changes.3. Regulatory Coordination & RepresentationServe as the primary point of contact for SEBI, Stock Exchanges (NSE/BSE), RTA, NSDL, CDSL, and other statutory authorities.Lead and manage SEBI inspections, stock exchange audits, regulatory inquiries, and investigations end-to-end.Draft and submit responses to show cause notices, regulatory queries, and compliance correspondence.Maintain comprehensive compliance documentation; ensure regulatory readiness at all times.4. Investor & Stakeholder EngagementEngage with investors, shareholders, and analysts; ensure transparent, accurate, and timely communication at all times.Handle investor grievances in coordination with the Registrar & Transfer Agent (RTA).Support the Board and management in investor relations and stakeholder communication initiatives.5. Corporate Actions & Capital Market TransactionsIndependently manage corporate actions including allotment of shares/warrants, preferential allotment, rights issue, bonus issue, and private placement.Handle ISIN creation, corporate action execution, and dematerialisation of shares.Coordinate with depositories and RTA for smooth and accurate execution of all capital market transactions.Manage restructuring actions such as shifting of registered office, conversion of entities (Company/LLP), and strike-off/closure processes.6. Legal Documentation & VettingReview, vet, and manage legal and commercial documents including NDAs, Sales & Purchase Agreements, Vendor/Supplier Agreements, JV/Partnership Agreements, and Powers of Attorney.Draft responses to notices, regulatory queries, and legal correspondence.Support management in structuring legally sound business arrangements.7. Audit CoordinationCoordinate with Internal Auditors, Statutory Auditors, and Secretarial Auditors; provide required data and ensure timely audit completion.Track closure of audit observations in coordination with management.8. Group Compliance & Cross-Functional CoordinationIndependently manage compliance for the Indian listed parent company, the Singapore-based WOS, and other Indian group entities.Work closely with Finance, Accounts, Sales, and Management teams to ensure alignment between financial disclosures and regulatory filings.Support business teams on compliance aspects of commercial decisions; ensure consistency across all entities.9. Insurance & Operational ComplianceMonitor and manage insurance renewals and related compliance matters; ensure timely and accurate reporting of all compliance obligations.KEY REQUIREMENTSQualified Company Secretary (ACS / FCS), active member of ICSI.3–5 years of post-qualification experience with mandatory exposure to a listed company.In-depth knowledge of SEBI Regulations, Companies Act 2013, Listing Framework, and Secretarial Standards.Strong hands-on experience with NSE/BSE portals, CDSL/NSDL issuer systems, and depository processes.Demonstrated ability to independently manage complex, multi-entity compliance environments.Strong written and verbal communication skills in English; strong drafting and documentation skills.High integrity, sharp attention to detail, and a structured, process-driven approach to compliance.Proven track record of working independently, someone who owns outcomes without hand-holding.WHAT WE'RE LOOKING FORBeyond the technical checklist, here's the kind of person who will thrive in this role:Someone with real intent to grow, not just to clock in, but to build something alongside a scaling organisation.Comfortable working in small, lean teams (Finance and Accounts) where collaboration and flexibility matter.A quick learner who picks up context fast and adapts without needing extensive oversight.Self-starter who takes initiative and brings solutions, not just problems.Ability to balance precision with pace - this is a dynamic, listed company environment.PREFERRED ATTRIBUTESExperience independently handling listed company compliance end-to-end.Exposure to capital market transactions, SEBI inspections, or regulatory proceedings.Familiarity with international compliance frameworks, Singapore jurisdiction is an added advantage.Candidates residing near Okhla Phase-1, New Delhi will be given preference.REGULATORY POSITIONINGThe appointed candidate shall be designated as Company Secretary under Section 203, Companies Act 2013, and as Compliance Officer under Regulation 6, SEBI (LODR) Regulations 2015. The incumbent shall be classified as a Key Managerial Personnel (KMP).
