Job Description:
Role OverviewWe are seeking an experienced Corporate Lawyer to oversee and manage all legal, regulatory, contractual, and compliance requirements for client's operations in India. This role will work closely with leadership and cross-functional teams to ensure the business functions within legal frameworks while minimizing risk and enabling sustainable growth.Key ResponsibilitiesContract Management & NegotiationDraft, review, and negotiate commercial agreements including transportation, warehousing, freight forwarding, vendor contracts, NDAs, and SLAs.Ensure contracts are legally sound, compliant, and protect company interests.Support sales, operations, and procurement teams with contract interpretation and risk assessments.Regulatory & ComplianceEnsure compliance with logistics, transportation, customs, import–export laws, and other regulatory frameworks.Advise teams on licensing, permits, local filings, and compliance obligations.Develop, maintain, and update internal legal policies.Dispute Resolution & Litigation ManagementManage customer/vendor disputes related to freight claims, damages, service failures, delays, and billing issues.Liaise with external counsel and oversee litigation, arbitration, or settlements.Maintain complete documentation and claim records.Corporate GovernanceSupport board meetings, resolutions, corporate filings, and statutory documents.Assist with entity formation, restructuring, and secretarial activities.Risk ManagementIdentify potential legal risks and propose mitigation strategies.Conduct legal and compliance training sessions.Prepare risk reports for business decision-making.Support for Business ExpansionProvide legal guidance for M&A activities, joint ventures, new facility leases, and cross-border operations.Conduct legal due diligence on vendors and partners.Key Skills & RequirementsBachelor’s or Master’s degree in Law (LLB/LLM).8–12 years of legal experience, preferably in logistics, supply chain, transportation.Strong knowledge of commercial laws, contracts, logistics regulations.Experience handling disputes and working with external counsel.Excellent drafting, negotiation, and communication skills.
