Experience:2–7 Years PQE Location:Mumbai Practice Area:Corporate & Commercial / M&A / PE-VC Role Overview: One of our client is looking for a transactional lawyer with 2–7 years of PQE to join our Corporate Practice. The role will involve working closely with partners and senior lawyers on a wide range of domestic and cross-border transactions, including M&A, private equity, venture capital investments, and general corporate advisory. Key Responsibilities: Draft, review, and negotiate transaction documents, including: Share Purchase Agreements (SPA) Share Subscription Agreements (SSA) Shareholders’ Agreements (SHA) Business Transfer Agreements (BTA) Joint Venture Agreements (JVA) Commercial and ancillary agreements Assist in structuring and executing M&A, PE/VC, and strategic investment transactions Conduct legal due diligence and prepare/redline due diligence reports Support transaction lifecycle from term sheet stage to closing and post-closing compliances Liaise with clients, counterparties, and external advisors during negotiations Provide general corporate and commercial advisory to clients Stay updated on legal and regulatory developments relevant to transactions Eligibility & Skills: Qualified lawyer with 2–7 years of PQE from a reputed law firm Strong experience in corporate transactions, M&A, and/or PE/VC deals Excellent drafting and negotiation skills with attention to detail Sound understanding of Companies Act, FEMA, and related regulations Ability to manage multiple matters in a fast-paced, deadline-driven environment Strong research, analytical, and communication skills Preferred: Experience in handling cross-border transactions Exposure to sectors such as startups, technology, fintech, or e-commerce Prior experience at Tier 1 / Tier 2 law firms
