Role Summary: We are looking for a General Corporate Lawyer to join a highly coveted team handling some of the best legal work in the firm. The role will involve working closely with leadership teams, M&A commercial teams, external counsel, the general counsel office, and external experts to support the firm’s growing M&A activities in India and abroad. Key Responsibilities: Extensive contract review, drafting and management experience Provide extensive legal support on internal governance, general corporate and M&A transactions including mergers, acquisitions, alliances, etc. Draft and review shareholder agreements, share subscription agreements, AoA, MoA, resolutions, and all related documents. Strategize and structure deals from a legal perspective. Advise on company laws and regulations, FEMA, SEBI laws, and allied laws. Provide knowledge support on ESOP management. Conduct legal due diligence and work with external counsel. Support negotiations with external parties. Conduct research on relevant matters concerning the above laws. Manage internal stakeholders in relation to general corporate matters. Added advantage is experienced in review of office and infra agreements such as leave and license and lease agreements Handle other matters necessary to support the above scope. Key Requirements: 4-6 years PQE with an LLB degree (CS, LLM, and M&A experience and courses additionally preferred). Focused, with high analytical thinking and detail orientation. High proficiency in English (verbal and written). Strategic thinking and ability to navigate complex deals. Proficiency in Word, Excel, and PowerPoint. Strong organizational skills.
