The role will be responsible for ensuring compliance with applicable laws including the Companies Act, 2013 and Foreign Exchange Management Act, 1999, as well as managing debt covenant compliance and implementing a robust compliance management framework across all the PDG entities in IndiaKey Responsibilities1. Corporate & Secretarial ComplianceEnsure compliance with provisions of the Companies Act, 2013, rules, and secretarial standardsManage board and committee meetings, including agenda, minutes, and resolutionsMaintain statutory registers, records, and filings with the Ministry of Corporate AffairsHandle annual filings, event-based filings, and corporate actions2. FEMA & Regulatory ComplianceEnsure compliance with the Foreign Exchange Management Act, 1999 and related regulationsManage filings and reporting with the Reserve Bank of India, including FDI and ECB ODI transactionsLiaise with authorized dealers, registrar and transfer agent, depository and regulatory authorities3. Compliance Management System (CMS) ImplementationDesign and implement a comprehensive compliance management systemDevelop compliance calendars, trackers, and dashboardsDrive automation and digitalization of compliance processesEnsure periodic compliance reviews and reporting to management4. Corporate Governance & AdvisoryAdvise the Board and senior management on governance matters and regulatory developmentsEnsure adherence to best practices in corporate governanceSupport strategic initiatives including restructuring, fund raising, and corporate actions5. Debt Compliance & Covenant MonitoringTrack and monitor compliance with debt covenants, financing agreements, and lender requirementsMaintain compliance trackers for borrowings, including term loans and working capital facilitiesCoordinate with lenders, legal teams, and finance teams for timely security creation, reporting and certificationsQualifications & ExperienceQualified Company Secretary (Member of Institute of Company Secretaries of India)5+ years of relevant experience, preferably in infrastructure, data center, telecom, or energy sectorsStrong knowledge of corporate laws, FEMA regulations, and debt documentationExperience in implementing compliance systems and governance frameworksKey Skills & CompetenciesStrong understanding of regulatory frameworks and compliance requirementsExcellent drafting and documentation skillsHigh attention to detail and strong organizational skillsAbility to manage multiple stakeholders and deadlinesProactive and solution-oriented approachPreferred ExperienceExperience in capital-intensive businessesExposure to foreign investment structures with multiple project SPVs is preferableFamiliarity with compliance tools and automation platforms
