The role ensures that business operations, board governance, and cross-border engagements are fully compliant with applicable laws and regulations in India and overseas jurisdictions. The individual will act as a key liaison between internal departments, management, and external legal advisors, balancing both corporate legal and company secretarial responsibilities.Key Responsibilities1. Client Proposals and Contracts: Review and Legal Documentation Review and vet client proposals, contracts, and NDAs for legal and commercial risks. Draft, review, and finalise employment offers, appointment letters, and exit documents in line with company policies. Maintain a repository of standard templates for commercial and employment agreements. Ensure all agreements align with company bylaws and the Shareholders’ Agreement.2. Company Secretarial & Corporate Compliance Assist in the preparation and conduct of Board Meetings, AGMs, and documentation of minutes and resolutions. Maintain statutory registers, filings, and corporate records with the Registrar of Companies (ROC) under the Companies Act, 2013. Manage filings and compliance for MCA, DGFT, and other statutory authorities. Coordinate with auditors and finance teams for secretarial and statutory audit requirements.3. Cross-Border Legal & Regulatory Coordination Liaise with external law firms in jurisdictions such as UK, Saudi Arabia, Oman, UAE, and the USA for local compliance, entity setup, or visa/legal matters. Ensure cross-border compliance for contracts, payments, and data-sharing agreements. Monitor ongoing obligations under foreign laws (e.g., Saudi portal filings, U.S. state/federal compliance).4. Legal Risk Management & Data Protection Conduct periodic legal risk assessments for business operations and new initiatives. Draft and maintain the company’s Privacy Policy, Terms of Service, and GDPR/Data Protection frameworks. Track and ensure adherence to evolving data protection and privacy laws across jurisdictions.5. Shareholder & Governance Compliance Review the company’s bylaws and Articles of Association periodically for consistency with the Shareholders’ Agreement. Identify and escalate potential conflicts or non-alignment, recommending corrective amendments. Support corporate restructuring, mergers, and investment documentation in coordination with advisors and stakeholders.6. General Legal Advisory Handle all other legal matters arising in the ordinary course of business, including advisory, notices, dispute responses, and internal queries. Liaise with external counsel as required to protect the company’s legal interests.Skills & ExperienceEducation: LL.B. mandatory Company Secretary (CS) qualification preferred or currently pursuingExperience: 2–4 years in corporate legal or company secretarial functions, preferably in a multinational or tech companySkills: Strong knowledge of Indian corporate, employment, and contract law Exposure to cross-border regulatory frameworks (U.S. and GCC) – preferred Understanding of GDPR / privacy principles – preferred Excellent drafting, analytical, and communication skills Ability to coordinate effectively with senior management and external counselReporting & Collaboration Reports to: CEO Works closely with: Sales, Accounts Receivable, HR, and Finance Liaises with: External law firms, Company Secretary, and Statutory Auditors
