We work closely with partners to deliver meaningful outcomes, improve patient access, and drive long-term value across the healthcare ecosystem.To learn more, visit: Role Overview:The Applicant will be responsible for ensuring compliance with statutory and regulatory requirements under the Companies Act, 2013, FEMA, and other applicable laws.Key Responsibilities:1. Ensure compliance with the Companies Act, 2013, rules, and amendments thereunder.2. Convene, coordinate, and record Board Meetings, Committee Meetings, and General Meetings.3. Draft and maintain agenda, notes, minutes, and resolutions.4. Maintain statutory registers and records.5. Ensure timely filing of statutory forms including but not limited to AOC-4, MGT-7, DIR-3 KYC, PAS-3, etc.6. Manage FDI-related compliances, including FC-GPR, FC-TRS, FLA returns, etc.7. Manage issue, allotment, transfer, transmission, and buy-back of shares.8. Coordinate with RTA, NSDL/CDSL, and depositories.9. Draft, vet, and review MOA, AOA, shareholder agreements, board resolutions, and policies.10. Coordinate with external counsels, auditors, and consultants.11. Support due diligence exercises, audits, and inspections.12. Maintain compliance calendars and MIS reports for management.Required Qualifications & Skills· Member of the Institute of Company Secretaries of India (ICSI) & LLB (preferred).· 1–3 years of relevant experience (may vary based on role seniority).· Experience in corporate secretarial, FEMA, and compliance management.
