Job Description:
The role holder will be responsible for ensuring comprehensive compliance with all applicable corporate laws and regulations, including the Companies Act, SEBI regulations, FEMA, and other applicable frameworks. The incumbent will play a key role in Board and Committee governance, policy formulation, shareholders relations, and corporate secretarial functions for the listed entity and its subsidiaries. This role involves significant interaction with senior leadership, regulators, stock exchanges, intermediaries and other key stakeholders.Key Responsibilities1. Statutory & Regulatory Compliances Ensure compliance with Companies Act, SEBI (LODR), FEMA, Insider Trading Regulations, Takeover Code, and other applicable laws. Maintain and update statutory records and ensure timely regulatory filings (ROC, SEBI, Stock Exchanges, RBI, etc.). Track regulatory changes and ensure timely implementation and compliance.2.Board & Committee Governance Organize and manage Board, Committee, and General Meetings (AGM/EGM). Draft agendas, notices, minutes, resolutions, and maintain related documentation. Ensure timely submission of disclosures and reports to stock exchanges and MCA. Advise the Board and Senior Management on legal responsibilities and governance best practices. Standardize and oversee governance processes across the organization.3. Corporate Governance & Secretarial Audits Drive corporate governance initiatives across the organization. Conduct internal secretarial audits/ checks and coordinate with statutory auditors. Maintain disclosures, declarations, and compliance checklists for a listed company.4. Stakeholder Communication & Management Liaise with stock exchanges, SEBI, MCA, and other regulatory bodies. Coordinate with Registrar and Transfer Agents (RTAs) for shareholder servicing and grievance redressal. Monitor investor/ shareholders communications and ensure compliance with SEBI and listing regulations.5. Policy & Compliance Frameworks Periodically review and update corporate policies on compliance, ethics, and governance. Assess the impact of regulatory updates and ensure effective communication and implementation. Bring outside in perspective and implement best standards of governance and compliance Foster a culture of compliance, transparency, and ethical governance. Organize training and awareness sessions on corporate governance.6. Execute Corporate actions as may be approved by the Board Execute and implement various corporate actions viz. dividends, buyback etc. as may be approved by the Board from time to time. Support in mergers and acquisitions from corporate secretarial standpoint.Qualifications & Experience Education: Qualified Company Secretary (ACS/FCS). LLB or equivalent legal qualification will add further value. Experience: 7–10 years of post-qualification experience, preferably in a listed company. Strong knowledge of Companies Act, SEBI regulations, FEMA, and corporate governance best practices. High integrity and strong ethical standards. Excellent drafting, communication, and presentation skills. Meticulous attention to detail with ability to manage multiple priorities. Strong ability to work with cross-functional teams and senior leadership.
