Job Title: Corporate AssociateDepartment: Corporate Law / Securities LawLocation: DelhiExperience: 1–3 yearsReporting to: Founder and Principal CounselRole Overview:The role offers significant learning and growth opportunities through hands-on exposure to regulatory work, commercial contracts, and capital marketsadvisory.Key Responsibilities:• Assist in advising clients on regulatory matters under SEBI regulations,including ICDR, LODR, Takeover Code, Insider Trading, and Mutual FundRegulations.• Support in drafting and reviewing corporate contracts such as shareholders’agreements, NDAs, service agreements, and vendor contracts.• Provide research support and documentation for setting up mutual funds,AIFs, and assisting investment managers with compliance.• Conduct preliminary legal due diligence in M&A and fund structuring mattersunder guidance.• Coordinate with regulatory authorities such as SEBI and RBI for filings,clarifications, and responses.• Stay updated with changes in laws affecting capital markets, securities, andcompany regulations.• Draft internal legal notes, compliance checklists, and opinion briefs undersupervision.• Assist the senior team in maintaining client communication and trackingdeliverables.Key Skills & Competencies:• Basic understanding of SEBI laws, Companies Act, and mutual fundregulations.• Strong research, writing, and documentation skills.• Willingness to learn and adapt in a fast-paced regulatory environment.• Strong attention to detail and a proactive approach to work.• Effective communication skills for internal coordination and external clienthandling.• Ability to multitask and work under supervision with tight timelines.Qualifications:• LL.B. from a reputed law school/university.• Company Secretary (CS) qualification is an added advantage but notmandatory.• 1–3 years of relevant experience in a law firm or in-house corporate legalteam.Preferred Experience (Not Mandatory):• Exposure to SEBI filings, IPO documentation, or rights issues.• Experience working with mutual funds, AMCs, or trustees.• Involvement in corporate advisory, due diligence, or compliancedocumentation.
