Job Title : Company Secretary (CS) - Alternative Investment Fund (AIF) Location : Jaipur Job Type : Full-time We are looking for a qualifiedCompany Secretary (CS)to manage the regulatory, governance, and compliance functions of our Alternative Investment Fund (AIF). The CS will ensure the fund adheres to legal and regulatory requirements, provide strategic advice to the board and management on governance matters, and oversee compliance with the Securities and Exchange Board of India (SEBI) regulations related to AIFs. Key Responsibilities: Regulatory Compliance & SEBI Filings : Ensure the AIF is in full compliance with SEBI regulations and any other applicable legal frameworks. Prepare and file timely reports, forms, and returns to SEBI and other regulatory bodies, including regular compliance reports, investor disclosures, and fund updates. Coordinate with legal and compliance teams to stay updated on regulatory changes impacting AIFs and provide advice accordingly. Corporate Governance : Serve as a strategic advisor to the board of directors on governance and compliance matters. Ensure adherence to corporate governance best practices and facilitate board meetings, committee meetings, and annual general meetings (AGMs) as per regulatory norms. Draft, prepare, and maintain board resolutions, minutes of meetings, and other corporate records. Ensure timely execution of all resolutions passed by the board and committees. Investor Relations & Reporting : Prepare and circulate periodic reports to investors, including updates on regulatory compliance and fund operations. Ensure transparency in communication with investors regarding any material changes, fund governance, or legal risks. Handle investor queries related to compliance, governance, and legal aspects of the AIF Qualifications & Skills: Qualified Company Secretary (CS) Experience : 2-3 years of experience in compliance, governance, or legal functions, preferably within an AIF, private equity, venture capital, or asset management firm.
