Job Description:

Key Responsibilities: Statutory Compliance & Governance •                         Ensure compliance with Companies Act, SEBI regulations, FEMA, and other applicable laws. •                         Maintain statutory books, including registers of members, directors, and secretaries. •                         Prepare board agendas, minutes, and resolutions for Board and General Meetings. IPO Process & DRHP Filing •                         Lead secretarial work related to IPO processes including drafting and reviewing the Draft Red Herring Prospectus (DRHP). •                         Coordinate with investment bankers, legal advisors, and auditors during IPO rounds. •                         Ensure timely filing of IPO-related documents with SEBI, stock exchanges, and other regulatory authorities. Regulatory Filings & Liaison •                         Timely filing of returns and forms with MCA, SEBI, and other regulatory bodies. •                         Liaise with stock exchanges, ROC, NSDL/CDSL, and regulatory authorities as needed. •                         Monitor changes in legal and regulatory frameworks and ensure timely compliance. Board & Shareholder Management •                         Organize board and shareholder meetings, ensuring accurate documentation and compliance. •                         Advise the board on governance best practices and regulatory updates. •                         Manage shareholding structures, ESOPs, and dividend-related compliance. Risk & Ethics Oversight •            Support management in identifying legal and compliance risks. •            Promote ethical governance and code of conduct within the organization. •            Ensure appropriate disclosures and declarations are filed by Directors and KMPs. Key Competencies: •            In-depth knowledge of Company Law, SEBI Regulations, and Listing Obligations •            Hands-on experience in handling IPO rounds and DRHP filings •            Strong communication and stakeholder management skills •            Ability to manage board governance and regulatory liaison independently •            Proficient in drafting legal documents, board minutes, and resolutions •            High integrity and understanding of corporate ethics and transparency standards
