AM/Manager- Financial Due Diligence (Indian AS)

Job Title: AM/ManagerExperience: 3-7 yearsLocation: Gurgaon, HaryanaWork Mode: 5 days WFOA. Financial Due Diligence (Primary Focus)Execution of buy-side and sell-side Financial Due Diligence assignments for M&A, investments, and strategic transactions.Analysis of:Quality of EarningsNormalised EBITDANet Working CapitalNet DebtCash flow sustainabilityReview and assessment of:Accounting policies (IGAAP / Ind AS)One-off and non-recurring itemsRelated party transactionsRevenue recognition and cost structuresPreparation of:Financial Due Diligence reportsAdjustment workingsInvestor presentations and data packsConducting management interviews and coordinating with target finance teams.Reviewing SPA-related financial clauses (earn-outs, escrow, working capital mechanisms).Coordinating with Tax, Legal, Valuation, and Commercial DD teams.B. Statutory Audit Support (Secondary / As Required)Supporting statutory audits of Indian companies (listed and unlisted).Execution of audit procedures under Companies Act, 2013, Ind AS, and applicable Standards on Auditing (SAs).Assistance in:Audit planning and risk assessmentIFC testing (where applicable)Audit documentation and working papersResolution of audit queriesCoordination with internal teams and client finance teams during audits.Technical Skills & KnowledgeStrong understanding of:Ind AS / IGAAPFinancial statements analysisTransaction-related accounting issuesExperience in FDD for Indian transactions (mandatory).Working knowledge of:SPA mechanics (NWC, ND, earn-outs, escrow)Consolidation basicsFinancial instruments (preferred but not mandatory)Proficiency in MS Excel, PowerPoint, and Word.Experience with VDRs and data room reviews.QualificationsCAAdditional certifications in valuation or transaction advisory are a plus.Soft SkillsStrong analytical and problem-solving skills.Ability to manage multiple workstreams and tight timelines.Clear communication skills (written and verbal).Comfortable interacting with senior management, investors, and advisors.Prior experience working with PE/strategic investors / foreign clients is a plus.Salary:As per industry standards.Why AKM?AKM Global is a premier professional services firm, with specialization in tax, consulting and outsourcing services.
