FraX is dedicated to offering a seamless, user-friendly experience and is committed to redefining the future of real estate investment for serious investors.Role DescriptionThis is a full-time, on-site role based in Gurgaon for a Legal Counsel & Company Secretary. We are looking for a Company Secretary& Legal Counsel to lead our legal, secretarial and compliance execution.You will work closely with the founders across corporate governance, regulatory compliance, contracts and risk management.This is a core role with significant responsibility and visibility.Key Responsibilities1.Corporate Governance & Secretarial- Act as Company Secretary for the company and its group entities. - Ensure compliance with the Companies Act, 2013 and other relevant laws. - Manage Board and shareholder meetings: notices, agendas, resolutions and minutes. - Own all MCA / RoC compliances, filings, maintenance of statutory registers and corporate records.2. Legal & Regulatory Compliance- Advise on legal and regulatory matters relevant to a fintech style real estate investment platform. - Support any licensing or registration processes with SEBI / RERA / stock exchanges / depositories, if and when required. - Monitor regulatory changes in securities, fintech, data protection, KYC/AML and ensure timely implementation in platform processes and documentation. - Coordinate with external legal and compliance advisors where required. - Build simple internal compliance checklists and calendars for the team.3. Contracts & Documentation - Draft, review and negotiate:- Investor-facing documents: IMs / information packs, FAQs, risk factors, platform terms of use, privacy policy, consent forms and disclosures. - Property-related documents and commercial agreements with developers and vendors. - Service, technology and partnership agreements. - Standardise templates and help set up a basic contract tracking system.4. Risk Management & Disputes- Identify legal and contractual risks in products, partnerships and communications. - Set up frameworks for - Handling investor complaints and grievances, Disclosures around property risk, valuation, conflicts of interest, and exit mechanics. - Recommend practical mitigation steps and clear do’s and don’ts for business teams. - Create and drive concise compliance SOPs for cross-functional teams (product, ops, finance, sales, marketing). - Support handling of notices, disputes and escalation matters with customers, partners or vendors.QualificationsMust-have- Qualified Company Secretary (CS) + LLB/Degree in Law - 4–8 years of experience in legal, secretarial and compliance roles. - Strong grounding in corporate law, governance and commercial contracts.Good to have- Experience in real estate, financial services, fintech or investment products. - Prior exposure to SEBI / RERA / NBFC / investment platform work (in-house or via law / CS firm). - Experience working directly with founders / CXOs in an early-stage company.Skills & Attributes- Excellent drafting and contract negotiation skills. - Strong attention to detail with a practical, business-friendly approach. - Ability to work independently, prioritise and take ownership. - Clear communication and comfort working with multiple stakeholders. - High standards of integrity and confidentiality.What We Offer- A core role in a fast growing, category defining, tech driven company. - Direct work with the founding team on key strategic and structural decisions. - Competitive compensation with ESOPs for the right candidate.
