Job Description:

Role Overview:We are seeking an experienced Sr. Manager/Manager – Legal to lead and manage all contractual, legal and compliance-related matters across U.S. and India operations of our client. This is a critical Individual Contributor as well as Reviewer role responsible for handling end-to-end contract lifecycle management, ensuring legal risk mitigation, and enabling business teams through structured, compliant, and scalable legal frameworks. You will work closely with Finance, Sales, HR, and Leadership teams, acting as a key enabler in closing enterprise deals, managing legal exposure, and ensuring adherence to both U.S. and Indian regulatory environments. Key Responsibilities Contract Lifecycle Management: Draft, review, negotiate, and finalize legal agreements including Master Service Agreements(MSAs), Non Disclosure Agreements(NDAs)NDAs, Business Associate Agreements (BAAs), Vendor Contracts, Partnership Agreements, various Shares/Stocks related documents and relevant amendments. U.S. Legal Expertise: Handle contracts aligned with U.S. laws and standards; manage redlining with clients, various stakeholders and external counsel while ensuring risk mitigation. Knowledge of Healthcare laws will be an added advantage. India Legal Compliance: Ensure compliance with Indian corporate, labor, and commercial laws; support statutory and regulatory requirements. Deal Support & Closure: Partner with Sales and Business teams to accelerate deal closures by resolving contractual bottlenecks efficiently. Risk Assessment & Mitigation: Identify legal risks in contracts and business models; propose practical, business-friendly solutions. Policy & Framework Development: Develop and standardize contract templates, playbooks, and legal policies to streamline operations. Stakeholder Collaboration: Act as a bridge between internal teams (Sales, Finance, HR, Product) and external stakeholders (clients, legal firms). Regulatory Compliance: Ensure adherence to applicable laws such as data protection, confidentiality, and healthcare compliance frameworks (where applicable). Legal Advisory: Provide day-to-day legal advice to leadership on business decisions, disputes, and strategic initiatives. Documentation & Governance: Maintain an organized repository of contracts and ensure audit readiness. Required Qualifications ● Experience: 8–10+ years of experience in Legal roles, with strong exposure to U.S. contracts and international business environments ● Core Expertise: Proven experience in MSAs, NDAs, SOWs, contract negotiations, and legal drafting ● Dual Jurisdiction Knowledge: Working knowledge of both U.S. and Indian legal frameworks ● Business Acumen: Ability to balance legal risk with business priorities ● Communication Skills: Excellent written and verbal communication, especially for U.S. stakeholders ● Global Exposure: Experience working in a global delivery model supporting international clients ● Educational Qualification: LLB / LLM from a reputed institution ● Experience in SaaS, Healthcare Tech, or IT/ITES industry ● Familiarity with U.S. healthcare regulations (HIPAA, data privacy frameworks) ● Prior experience working with cross-border contracts and international clients ● Exposure to compliance frameworks and corporate governance ● Experience coordinating with external legal counsel (U.S. & India) Technical Skills: ● Contract Management Tools: Familiarity with CLM tools is a plus ● Documentation: Strong drafting and documentation skills ● MS Office: Proficiency in Word, Excel, and legal documentation tools ● CRM/Systems Exposure: Understanding of Salesforce/HubSpotSearch Company DescriptionThe Corner Office HR Partners is a premier Executive Search and HR Consulting firm that specializes in senior leadership recruitment for startups and high-growth companies.
