Overview of Job Function:The [Deputy] General Counsel – Global Contracts position reports directly to Verint’s Chief Legal Officer and is a member of the Legal Department Leadership Team. The position is responsible for managing Verint’s partner contracting processes on a global basis, as well as other areas of contract specialization (e.g., terms and conditions relating to data privacy, security, artificial intelligence) managed centrally on a global basis. These areas each support Verint’s global sales organization and sales contracting processes.The position initially will be responsible for establishing, and then directly managing a legal team in Verint’s Bangalore, India office. The team consists of transactional attorneys, paralegals, and administrative positions, with full integration into the Verint Legal Department. Certain positions will functionally report to the Deputy General Counsel – Global Contracts, while other positions will functionally report to other areas of the Verint Legal Department, supporting other business teams, objectives and initiatives.This position requires prior experience successfully establishing, integrating, managing and maintaining offshore legal teams. Additionally, superior leadership, communication and presentation skills, ability to manage laterally and in a matrixed business organization, and to collaborate with colleagues in multiple time zones and geographies, functions and cultural orientations, are all essential. Knowledge of and experience negotiating technology arrangements, facilitating and effectuating complex channel sales program arrangements, and satisfying contractual, legal and regulatory compliance, is required.The individual must be goal/achievement/success oriented, possessing an ambition and passion for excellence.Principal Duties and Essential Responsibilities:- Provide general counsel leadership for Verint’s partner teams on a global basis - Establish and directly manage a legal team based in the same office, with a subset of that team as functional reports, with the remaining functionally reporting elsewhere - Continuously facilitate the integration and collaboration of on-shore, near-shore and off-shore Legal Department team members - Global Partner Program: - Participate as a member of global and regional partner teams - Collaborate with the Verint partner organization on business models and initiatives, assessing new program viability and completeness; contractually memorializing those programs to the extent necessary to achieve objectives - Manage legal issues (either directly or as participant) applicable to the Verint partner business - Global Partner Contracts: - Manage (internally and externally) and oversee the team negotiating partner agreements, ensuring outcomes align with Verint’s corporate and business objectives - Implement new partner forms, partner business models within Verint forms, and ad hoc mass amendment processes - Coordinate issue analysis, escalation and resolution with the global and regional partner business teams - Manage roll-out of global compliance initiatives as it relates to Verint’s partner community - Manage integration activities for acquired companies applicable to the partner business - Contracts Generally: - Responsible for negotiating areas of contract specialization managed centrally in support of regional contract negotiations - Maintain Verint protections and limitations with respect to financials, intellectual property, privacy compliance and liability - Maintain working knowledge of business operations and financial models for alignment with contractual requirements; requires consistent coordination with the Business Finance and Operations teams - Support other business process and management activities within the business - Direct report to Chief Legal Officer based in US (Atlanta)Minimum Requirements:- LL.B. or equivalent degree from an accredited law school in India - 10+ years practice experience, with part in large firm or medium technology law firm, and part in-house counsel at relatively similar business environment to Verint - Significant experience: - Working in an offshore legal services environment, managing and fostering a legal team, including with functional reporting elsewhere - Supporting a global partner sales organization in a complex business environment with complex personalities, with ability to develop, maintain and strengthen strategic alliances and working relationships - Participating in / supporting business activities and objectives, and providing related legal analysis and practical advice - Significant contract negotiation experience in multiple jurisdictions, with specific focus in United States, United Kingdom, Australia and India, especially with respect to technology/cloud based agreements, sale and distribution agreements, and a variety of other business models - Excellent verbal communications, negotiation techniques, and legal drafting skills - Deep understanding of intellectual property concepts - Understanding of privacy legislation and compliance requirements, and terms and concepts applicable to information security and advanced technologies such as artificial intelligence - Dispute management experience, and proven success resolving disputes (both litigation and pre-litigation matters) - Management team member experience - Self-driven, team orientedPreferred Qualifications:- IAPP CIPP certifications - Project management experience - Business process re-engineering experience, and creative planning for achieving efficiency and proficiency objectives - Prior experience implementing productivity tools for legal organizations - Prior career experience outside practicing law
