About This RoleContract Playbook & Clause Automation Analyst (Legal Ops – Data & AI)Position Overview This role converts Marmon’s templates, terms & conditions, and historical contract redlines into machine‑actionable contract playbooks and clause libraries that power AI‑assisted redlining and faster negotiations. You’ll analyse existing playbooks and mine thousands of past negotiations to derive preferred/fallback positions, encode them as structured rules, test them against new agreements, and continuously improve accuracy with attorney feedback—so reviewers get precise, explainable changes in seconds rather than hours. (Modern legal‑AI/CLM platforms support automated playbook redlining with reviewer control.)Mandatory Skills Redline mining & rule discovery Analyse prior markups/versions and existing templates to identify recurring edits, counterparty patterns, and risk drivers; normalize intoclause taxonomiesandplaybook rules(preferred, acceptable fallback, “never”, approver needed). (Research supports LLM‑based comparison to templates and extraction of systematic variations.) Playbook authoring & governance Draft clear, testable rules with model language, rationale, and escalation paths; maintain versionedclause librariesmapped to contract types/jurisdictions. (Leading tools operationalize custom standards + fallback positions.) Collaborate with Marmon contract attorneys and designated GCs to validate playbook rules, fallback ordering, and escalation paths before deployment. Automation configuration (in tools you select/operate) Configure AI playbooks andauto‑redlinebehaviours in our chosen stack (e.g., Spellbook in Word; or CLM platforms like Ironclad/ Agiloft /Sirion), including tolerances, severity, and approver routing. Quality assurance & measurement Build and maintain avalidation frameworkand gold‑standard set; track precision/recall, acceptance rate of suggestions, and exception leakage; Data operations Clean/structure legacy contracts & redlines; tag clauses/definitions; extract metadata via approved services (e.g., Azure Document Intelligence, Python, etc.) to accelerate library build‑out. Human‑in‑the‑loop workflow Design reviewer experiences that keep attorneys in control; implementguardrailsand references to source language; document known limitations and edge‑cases to mitigate AI hallucinations. Stakeholder enablement Coordinate a ‘legal sounding board’ process with Marmon contract team lawyers and senior counsel for iterative review and sign-off of playbook content, ensuring all playbook rules are validated by legal experts before deployment.Desired Skills Structured thinkingand ability to translate attorney policy into machine‑executable rules with clear acceptance criteria. Data discipline : version control, changelogs, and test sets; comfort with dashboarding time‑savings and accuracy metrics. Risk awarenessunderstands AI limitations and when to escalate; designs guardrails to avoid over‑automation. (Independent studies highlight error rates on legal queries; this role builds the safety net.) Ability to interpret legal clauses and understand risk hierarchy; legal training or prior experience in contract negotiation strongly preferred. Excellent written/oral communication; ability to facilitate US‑time virtual meetings (reasonable scheduling). Strong MS Office/Excel and document comparison skills; exposure to global teams preferred. Postgraduate diploma, certification, or coursework in Legal Operations, Contract Management, Data Analytics, or Artificial Intelligence is a plus. 4–7 years inLegal Operations ,Contract Management/Analytics , orCLM administration ; prior experience encoding contract standards/playbooks strongly preferred. Hands‑on with at least oneAI contract revieworCLMplatform (e.g.,Spellbook , Ironclad, Sirion, Agiloft) and Word‑based review workflows. Familiarity with rule encoding, prompt design, and evaluation methods; basic Python a plus for data analysis and rule encoding. Experience with US multinationals and cross‑time‑zone collaboration preferred (mirrors our current JD style). Candidates without formal legal training may still qualify if they have deep experience in contract analytics and CLM systems, but legal familiarity will significantly improve fallback ordering and clause interpretation.
