Job Title:Group Company Secretary – Legal & M&A Compliance Location:Kolkata – Head Office (Taratala) Company:Shyam Metalics Department:Finance / Corporate Affairs Reporting To:Director – Finance Job Summary: The role involves leading the corporate secretarial and legal compliance function at a group level, with a strong focus on mergers & acquisitions (M&A), corporate restructuring, and regulatory governance. The incumbent will ensure end-to-end compliance across group entities, manage complex corporate transactions, and act as a key advisor to senior management on legal, regulatory, and governance matters. Key Responsibilities: Group Corporate Secretarial & Compliance Oversee compliance with the Companies Act, 2013, SEBI regulations (if applicable), and other statutory requirements across all group entities. Manage Board Meetings, Committee Meetings, and General Meetings for group companies, including agenda, minutes, and resolutions. Ensure timely statutory filings, maintenance of registers, and corporate records for all entities. Standardize and strengthen corporate governance practices across the group. Legal & Governance Provide strategic legal advisory on corporate laws, governance, and regulatory matters. Draft, review, and vet agreements, legal documents, shareholder agreements, and corporate resolutions. Coordinate with external legal counsels, consultants, and regulatory authorities. Ensure robust compliance frameworks and internal control mechanisms. Mergers & Acquisitions (M&A) Compliance Lead secretarial and legal compliance aspects of mergers, acquisitions, demergers, and restructuring initiatives. Conduct and oversee legal and secretarial due diligence for M&A transactions. Manage transaction documentation, regulatory approvals, and filings with ROC, NCLT, and other authorities. Ensure compliance with post-merger integration requirements and restructuring obligations. Liaise with investment bankers, legal advisors, auditors, and stakeholders during transactions. Regulatory & Stakeholder Liaison Act as a key point of contact with ROC, MCA, NCLT, SEBI, and other regulatory bodies. Manage regulatory audits, inspections, and corporate compliance reviews. Support senior leadership in strategic corporate actions and decision-making. Documentation & Record Management Maintain and monitor group-level statutory records, corporate documents, and legal files. Ensure proper documentation for restructuring, joint ventures, and investment transactions. Qualification & Experience Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI). LLB or strong legal background is preferred. 10–18 years of experience in corporate secretarial, legal compliance, and group-level governance. Proven experience in handling M&A transactions, restructuring, and due diligence processes. Experience in manufacturing, metals, or large corporate groups will be preferred. Key Skills Strong expertise in Companies Act, SEBI regulations, and corporate laws. In-depth knowledge of M&A transactions and compliance frameworks. Excellent drafting, negotiation, and legal documentation skills. Ability to interact with senior leadership and external stakeholders. High level of integrity, confidentiality, and attention to detail. Preferred Candidate Profile Kolkata-based candidate preferred. Prior experience in handling multi-entity/group corporate structures. Strong leadership capability with ability to manage cross-functional coordination.
