About This RoleContract Playbook & Clause Automation Analyst (Legal Ops – Data & AI)Position OverviewThis role converts Marmon’s templates, terms & conditions, and historical contract redlines into machine‑actionable contract playbooks and clause libraries that power AI‑assisted redlining and faster negotiations. You’ll analyse existing playbooks and mine thousands of past negotiations to derive preferred/fallback positions, encode them as structured rules, test them against new agreements, and continuously improve accuracy with attorney feedback—so reviewers get precise, explainable changes in seconds rather than hours. (Modern legal‑AI/CLM platforms support automated playbook redlining with reviewer control.)Mandatory SkillsRedline mining & rule discoveryAnalyse prior markups/versions and existing templates to identify recurring edits, counterparty patterns, and risk drivers; normalize into clause taxonomies and playbook rules (preferred, acceptable fallback, “never”, approver needed). (Research supports LLM‑based comparison to templates and extraction of systematic variations.)Playbook authoring & governanceDraft clear, testable rules with model language, rationale, and escalation paths; maintain versioned clause libraries mapped to contract types/jurisdictions. (Leading tools operationalize custom standards + fallback positions.)Collaborate with Marmon contract attorneys and designated GCs to validate playbook rules, fallback ordering, and escalation paths before deployment.Automation configuration (in tools you select/operate)Configure AI playbooks and auto‑redline behaviours in our chosen stack (e.g., Spellbook in Word; or CLM platforms like Ironclad/ Agiloft /Sirion), including tolerances, severity, and approver routing.Quality assurance & measurementBuild and maintain a validation framework and gold‑standard set; track precision/recall, acceptance rate of suggestions, and exception leakage;Data operationsClean/structure legacy contracts & redlines; tag clauses/definitions; extract metadata via approved services (e.g., Azure Document Intelligence, Python, etc.) to accelerate library build‑out.Human‑in‑the‑loop workflowDesign reviewer experiences that keep attorneys in control; implement guardrails and references to source language; document known limitations and edge‑cases to mitigate AI hallucinations.Stakeholder enablementCoordinate a ‘legal sounding board’ process with Marmon contract team lawyers and senior counsel for iterative review and sign-off of playbook content, ensuring all playbook rules are validated by legal experts before deployment.Desired SkillsStructured thinking and ability to translate attorney policy into machine‑executable rules with clear acceptance criteria.Data discipline: version control, changelogs, and test sets; comfort with dashboarding time‑savings and accuracy metrics.Risk awareness understands AI limitations and when to escalate; designs guardrails to avoid over‑automation.
