Role : Head Company Secretary Location : Kurla Qualification : CS Experience : 10 to 12 Years Job Description : SECRETARIAL RESPONSIBILITIES • Board/Committee Meeting Related Work • Administrative Arrangements • Agenda Preparation • Minutes Drafting • Action Points Circulation/ Tracking • Signing of Minutes/Digitalisation • General Meeting related work • Agenda/Notice Preparation • Minutes Drafting • Signing of Minutes/Digitalisation • Executive Committees – BR Issuance/Minutes Drafting • Statutory Registers updation COMPLIANCE RESPONSIBILITIES • ROC • e-Forms filing • Updation of ROC e-Form tracker • SEBI • High Value Debt Listed Entity (HVDLE) SEBI LODR – Compliances (17-27) • Debt Listing Compliance (49-62) • Issue and listing of Non-Convertible Securities (ILNCS) and Operational Framework • Debenture Trustee Compliances • Using Software for Compliance monitoring • Website Updation • Other Compliances as may be applicable • Debenture Trustee related compliances OTHER RESPONSIBILITIES: • Handle Secretarial Audit • Data requested by Internal Auditors/Statutory Auditors • Assist in RBI/NHB Audit • Annual Report preparation • Data requested by other Departments • Data to be provided to Debenture Trustee/Stock Exchanges/Depositories • Assist in Capital Raising Plans i.e. Public Issue of Non Convertible Debentures exposure • Listing Compliances under SEBI LODR • Knowledge Series – Keep depts informed on regulatory updates Should be a team-player and at the same time should be able to handle the given tasks independently Possess relevant compliance experience preferably in NBFC/Housing Sector Possess good oral and written communication skills Possess good inter-personal skills and maintain cordial relationships with internal and external stakeholders.
